Many business structures are chosen at inception and then left untouched for years. As a business grows, brings in investors, accumulates assets or approaches succession or sale, that original structure may no longer fit. Restructuring can unlock commercial flexibility, but it also raises tax, duty, governance and implementation risks that need to be managed carefully.

In this webinar, Small Business Restructuring, Russell Krupp from Moray & Agnew Lawyers outlines the key considerations in reviewing existing business structures, and how to approach restructures across the business lifecycle.

In his presentation, Russell will cover:

• Recognising when an existing structure has become misaligned with the business;
• Common restructuring drivers, including growth, asset protection, investor entry, succession and exit planning;
• Restructuring trusts, companies and private groups while managing CGT, duty, land tax and indirect tax consequences;
• Using rollover reliefs and concessions appropriately during restructures;
• Separating operating businesses, investment assets and business real property;
• Sequencing and implementing a restructure to reduce governance, documentation and transaction risk; and
• Practical lessons from recent transactions and client scenarios.
